Terms of Service

1. Agreement to Terms
By accessing our website or engaging WeCoding for any services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you should not use our website or services. These terms constitute a legally binding agreement between you and WeCoding.
2. Services Description
WeCoding provides web design, web development, eCommerce solutions, SEO optimization, branding, and related digital services. The specific scope, deliverables, and timeline for any project will be defined in a separate project proposal or statement of work agreed upon by both parties prior to the commencement of work.
3. Project Scope & Deliverables
Each project will be governed by a detailed proposal that outlines the scope of work, deliverables, milestones, and timeline. Any changes to the agreed scope must be documented in writing and may result in adjustments to the project timeline and cost. WeCoding will not be held responsible for delays caused by client-side dependencies, including but not limited to content delivery, feedback, and approvals.
4. Payment Terms
Payment schedules will be outlined in the project proposal. Unless otherwise agreed, our standard payment structure is 40% upon contract signing, 30% at the design approval milestone, and 30% upon project completion and launch. Invoices are due within 14 days of issuance. Late payments may result in work being paused until the outstanding balance is resolved. To the fullest extent permitted by applicable law, WeCoding reserves the right to charge interest on overdue amounts at a rate of 1.5% per month.
5. Intellectual Property
Upon receipt of full and final payment, ownership of all custom code, designs, and content created specifically for the client's project will transfer to the client. WeCoding retains the right to use general techniques, frameworks, and non-proprietary components developed during the engagement. WeCoding also reserves the right to showcase the completed project in its portfolio and marketing materials unless a non-disclosure agreement is in place.
6. Client Responsibilities
The client agrees to provide all necessary content, assets, access credentials, and feedback within the timelines outlined in the project proposal. The client is responsible for ensuring that all content provided is accurate, lawful, and does not infringe upon any third-party rights. Delays in providing required materials may impact the project timeline and are not the responsibility of WeCoding.
7. Limitation of Liability
WeCoding shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services or deliverables. Our total liability for any claim arising from a project shall not exceed the total amount paid by the client for that specific project. WeCoding is not responsible for any losses resulting from third-party services, hosting outages, or circumstances beyond our reasonable control.
8. Termination
Either party may terminate a project engagement by providing written notice. In the event of termination, the client is responsible for payment of all work completed up to the date of termination. WeCoding will deliver all completed work and associated assets upon receipt of outstanding payments. To the fullest extent permitted by applicable law, any deposits paid are non-refundable unless otherwise specified in the project proposal.
9. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of Romania, without regard to conflict-of-law principles. Any disputes arising from these terms or any engagement with WeCoding shall first be addressed through good-faith negotiation. If no resolution is reached, the dispute shall be submitted to the competent courts of Romania, unless otherwise agreed in writing by both parties.
